This Public Offer Agreement ("Agreement", "Offer") is a public offer, registered in accordance with the laws of Ukraine (the "Provider"), to any person or legal entity (the "Client") to enter into an agreement for the use of the online service dasreview.com on the terms set forth below.

By using the Service, registering an account, or paying an invoice, the Client confirms acceptance of this Public Offer Agreement in full and without reservations.

1. Subject of the Agreement

1.1. The Provider grants the Client access to the online software-as-a-service platform dasreview.com, which allows businesses and individual entrepreneurs to collect, aggregate, and display customer reviews ("Service").

1.2. The Service is provided remotely via the Internet.

2. Acceptance and Term of the Agreement

2.1. This Agreement is considered concluded from the moment the Client performs any of the following actions:

• – registers on the website dasreview.com;
• – clicks "I agree" or similar confirmation when creating an account; or
• – pays an invoice issued by the Provider.

2.2. From the moment of acceptance, the Client is deemed to have read, understood, and agreed to all the terms of this Agreement.

3. Rights and Obligations of the Parties

The Provider shall:

• – ensure access to the Service (except for planned maintenance or force majeure);
• – provide basic technical support via email.

The Client shall:

• – use the Service in compliance with applicable laws and this Agreement;
• – pay for the Service in full and on time;
• – not attempt to copy, reverse-engineer, or distribute the Service’s source code.

4. Payment and Settlements

4.1. The cost of the Service is specified on the website dasreview.com or in the corresponding invoice issued by the Provider.

4.2. Service Subscription Period: The Service subscription is valid for 30 days from the date of payment of the invoice. Access to the Service begins immediately upon payment confirmation.

4.3. Subscription Pricing: The monthly subscription fee is €19 EUR and includes:

• – Full access to the review management platform for one mounth;
• – Unlimited review links generation;
• – Advanced analytics and reporting features;
• – Priority customer support;
• – 100 free SMS messages(1 сообщение может содердать не более 160 латинсих символов) for sending review requests to customers (в случае если необходимо больше сообщений, обратитесь в службу поддержки).

4.4. Payment's services are provide Strippe via international company or Monobank via Ukrainian companies.

4.5. Payment of the invoice constitutes full and unconditional acceptance of this Agreement.

4.6. The Service is considered rendered once the Client has been granted access to the Service.

5. Service Access and Subscription Management

5.1. Subscription Duration: Each paid subscription provides access to the Service for exactly 30 days from the payment date.

5.2. Access Activation: Service access is activated immediately upon payment confirmation and remains active for the full 30-day period.

5.3. Subscription Expiry: At the end of the 30-day period, access to the Service will be automatically suspended unless a new payment is made.

5.4. No Automatic Renewal: The Service does not automatically renew. Clients must make a new payment to continue using the Service after the 30-day period expires.

6. SMS Messaging Services

6.1. SMS Allocation: Each monthly subscription includes 100 free SMS messages for sending review requests to customers.

6.2. SMS Usage: SMS messages are used exclusively for sending review request links to customers via the Service platform.

6.3. SMS Validity Period: The 100 SMS messages are valid for the entire 30-day subscription period and do not roll over to the next billing cycle.

6.4. SMS Limits: Once the 100 SMS limit is reached during the subscription period, additional SMS messages may be purchased separately or the Client must wait for the next billing cycle.

6.5. SMS Compliance: All SMS messages sent through the Service comply with applicable telecommunications regulations and anti-spam laws.

7. Liability

7.1. The Provider is not liable for any indirect, incidental, or consequential damages, including loss of profits or data.

7.2. The Provider's liability shall not exceed the total amount paid by the Client for the last three (3) months of Service use.

8. Confidentiality and Data Protection

8.1. The Provider processes Client data solely for the purpose of providing the Service.

8.2. The Provider complies with applicable data protection laws and uses secure data storage and transmission methods.

9. Termination

9.1. The Client may terminate the Agreement at any time by discontinuing the use of the Service.

9.2. The Provider may suspend or terminate access if the Client violates the terms of this Agreement or applicable laws.

10. Force Majeure

10.1. The Parties shall not be liable for non-performance caused by events beyond their reasonable control, including natural disasters, war, or technical failures of communication networks.

11. Governing Law and Dispute Resolution

11.1. This Agreement is governed by the laws of Ukraine.

11.2. Any disputes shall be resolved through negotiations, and if unresolved, by the competent courts of Ukraine.

12. Final Provisions

12.1. The Provider reserves the right to modify this Agreement by publishing an updated version on https://dasreview.com/offer.

12.2. The Client is responsible for reviewing the latest version of the Agreement before each payment or use of the Service.
